How to apply for Corporate Paralegal
Mainspring Energy
About Mainspring Energy
Mainspring Energy is a clean energy company building flexible, scalable power generation systems that accelerate the transition to a net-zero carbon grid. Their technology is designed to replace diesel generators and provide reliable, low-carbon power for commercial and industrial customers. Working here means contributing to a mission-driven organization at the forefront of the energy transition, with a collaborative and fast-paced startup culture.
About the role
As a Corporate Paralegal at Mainspring Energy, you will be the backbone of the legal team, supporting corporate governance, securities and financing activities, and legal operations. You will work directly with the General Counsel and partner with Finance and HR, taking ownership of board processes, entity management, and equity administration. This role is critical in helping the company scale efficiently while maintaining compliance and good governance.
A typical day
A typical day might involve preparing materials for an upcoming board committee meeting, coordinating with Finance on equity grant approvals, and managing annual filings for a foreign subsidiary. You'll also respond to ad-hoc requests from the General Counsel, such as drafting resolutions or updating the cap table. Expect to collaborate frequently with HR and Finance to ensure seamless legal operations.
Who Mainspring Energy is looking for
- 5+ years of corporate paralegal experience, preferably in-house at a high-growth technology or energy company, with strong exposure to board management and securities matters.
- Deep familiarity with entity management, including formations, qualifications, annual filings, and registered agent processes across multiple jurisdictions.
- Experience supporting equity financings, debt transactions, and equity administration (e.g., cap table management, stock option grants, secondary transactions).
- Highly organized, detail-oriented, and able to manage multiple projects simultaneously while maintaining a high degree of accuracy and confidentiality.
Tips for this application
- Highlight your experience with board management software (e.g., Diligent, Boardvantage) and entity management systems (e.g., CSC, CT Corporation) in your resume and cover letter.
- Quantify your impact in previous roles: e.g., 'Managed 10+ subsidiary entities across 5 jurisdictions' or 'Supported $50M equity financing round'.
- Tailor your resume to emphasize corporate governance, securities, and financing work, as these are core to the role. De-emphasize unrelated litigation or IP experience.
- Mention any experience with energy or hardware companies, as Mainspring operates in the energy sector and values industry knowledge.
- Include a brief note in your cover letter about why you're excited about Mainspring's mission to decarbonize the grid, showing alignment with their values.
What to cover in your cover letter
