Senior Legal Counsel

• Draft, review, and negotiate loan documents and manage legal due diligence for real estate lending transactions.
• Coordinate all legal aspects of loan closings with internal staff, borrower counsel, and title companies.
• Support post-closing legal matters including borrower compliance, consents, waivers, and loan modifications.
• Draft and negotiate participation-related documentation and support execution of loan participations with capital partners.

This role enables ROC USA Capital to provide financing to resident-owned cooperatives, helping communities achieve affordable homeownership and economic stability.

• J.D. from an accredited law school and active bar membership in good standing.
• 6–10 years of legal experience in commercial real estate finance, banking, or community development lending.
• Demonstrated experience supporting real estate lending transactions through closing.
• Strong working knowledge of loan documentation, secured transactions, title and survey review, and multi-party deal structures.
