How to Apply for General Counsel

at ROC USA

🏢 About ROC USA

ROC USA is a mission-driven nonprofit CDFI that empowers residents of manufactured home communities to purchase and govern their own communities as cooperatives, preserving affordable homeownership. Working here means using your legal expertise to directly support community-led housing solutions and economic justice across the U.S.

About This Role

As General Counsel, you will serve on the Executive Leadership Team, integrating legal strategy into all aspects of ROC USA’s operations, including lending, capital formation, and corporate governance. This role is impactful because you will lead the legal infrastructure for real estate lending, manage outside counsel, and help scale a model that keeps housing affordable for thousands of families.

💡 A Day in the Life

A typical day might start with a meeting with the CEO to discuss a new lending partnership, followed by reviewing loan documents for a closing. You might then supervise your paralegal on compliance filings, and end the day by evaluating a proposal from outside counsel for a complex regulatory matter. You’ll also carve out time for strategic planning with the executive team on growth initiatives.

🎯 Who ROC USA Is Looking For

  • A seasoned attorney with 10+ years of experience in commercial real estate finance, community development lending, or a related field, who has handled complex loan transactions and regulatory compliance.
  • A strategic leader who has served in a senior legal capacity, exercising independent judgment and advising executive teams on risk management and organizational strategy.
  • Someone with a passion for affordable housing and cooperative ownership, who understands the unique legal and regulatory landscape of nonprofit CDFIs.
  • A hands-on manager who can bring loan closings in-house, supervise a paralegal, and effectively evaluate which legal functions to insource versus outsource.

📝 Tips for Applying to ROC USA

1

Highlight specific experience with manufactured housing or cooperative ownership models, even if tangential, to show alignment with ROC USA’s mission.

2

Emphasize any experience bringing legal functions in-house or reducing outside counsel costs, as this is a stated goal in the job description.

3

Quantify your impact in previous roles, e.g., 'Managed $X million in loan closings annually' or 'Reduced legal spend by Y% through insourcing.'

4

Tailor your resume to showcase real estate finance, lending compliance, and nonprofit governance—avoid generic corporate law descriptions.

5

Include a cover letter that explicitly connects your personal motivation to ROC USA’s mission of preserving affordable homeownership.

✉️ What to Emphasize in Your Cover Letter

['Your commitment to affordable housing and community empowerment, and why ROC USA’s model resonates with you personally.', 'Your experience with commercial real estate finance, especially loan documentation, participation agreements, and compliance systems.', 'Your leadership in integrating legal strategy with organizational goals, and examples of advising executive teams on risk and governance.', 'Your ability to manage outside counsel and build in-house capacity, with concrete examples of cost savings or efficiency gains.']

⚠️ Common Mistakes to Avoid

  • Applying with a generic cover letter that doesn’t mention affordable housing, cooperatives, or CDFIs—this role requires mission alignment.
  • Overemphasizing litigation experience; this role is about transactional law, strategy, and compliance, not courtroom work.
  • Failing to demonstrate a hands-on, cost-conscious approach—ROC USA wants a leader who can build in-house capacity, not just manage outside counsel.
