Corporate Counsel

Major Duties and Responsibilities:

• Contract Review & Commercial Support: Draft, review, negotiate, and manage commercial contracts; identify risks; develop templates; advise stakeholders
• Insurance Management: Oversee insurance programs; coordinate with brokers; review insurance provisions; support claims handling
• Risk Management: Identify and mitigate legal/business risks; develop risk management strategies; support incident response
• HR & Employment Legal Matters: Provide guidance on employment matters; review agreements; assist with compliance; support HR with claims
• Corporate Governance, Structure & Filings: Maintain corporate records; manage business registrations; support corporate structure management
• Regulatory Compliance Support: Monitor laws/regulations; develop compliance policies; coordinate audits; track regulatory changes
• General Legal & Cross-Functional Support: Serve as legal advisor; manage outside counsel; support training; perform other legal duties

This role helps shape the legal foundation of a mission-driven organization committed to sustainable battery recycling, working to protect the planet, drive compliance, and enable growth toward a cleaner future and circular economy.

Basic Qualifications:

• Juris Doctor (JD) from accredited law school
• Active license to practice law in at least one U.S. jurisdiction
• 4–8+ years experience in commercial contracts and corporate law
• Must be authorized to work lawfully in the United States

Preferred Qualifications:

• Prior in-house counsel experience in nonprofit, environmental, or mission-driven organization
• Working knowledge of corporate governance and business registrations
• Familiarity with non-profit governance and IRS 501(c)(3) compliance
• Passion for sustainability and mission-driven work
• Experience managing outside counsel and legal budgets
• Familiarity with environmental regulations (EPA, DOT, hazardous materials)

Salary Range: $110K–$130K
